Which terms apply

The FHI General Terms of Delivery 2020 (ALV2020) apply to all our offers, agreements and deliveries. Wisman Techniek is a member of FHI, the Dutch federation of technology sectors. The contractor is Ernst Technische Handelsonderneming B.V., trading as Wisman Techniek, De Vente 10, 7261 ST Ruurlo, the Netherlands (Chamber of Commerce 09107520).

In brief

A few arrangements that come up most often in practice. This is a summary; in case of any difference, the full text of the ALV2020 always applies.

• Offer: every offer is non-binding unless it states a period for acceptance. The agreement is concluded with our written order confirmation.
• Delivery times: are an estimate and not strict deadlines.
• Payment: according to the payment terms on the invoice; if none are stated, within 30 days of the invoice date. Set-off or suspension of payment is not permitted. Report questions about an invoice in writing within 8 days of the invoice date.
• Warranty: 12 months from delivery on new goods, unless the offer states a different period. The warranty covers the product specifications and the properties we have confirmed in writing.
• Returns: only with our prior written consent and according to our shipping instructions.
• Retention of title: delivered goods remain our property until all payable obligations have been fulfilled.
• Liability: limited to direct damage and to the amount of the agreement (excluding VAT), up to a maximum of € 500,000. Indirect and consequential damage are excluded.
• Law and disputes: Dutch law applies; the Vienna Sales Convention (CISG) is excluded. Disputes are submitted to the competent court in the district where we are established.
